CODE OF CONDUCT

In order to be in harmony with the best management practices longed for by society and within the ethics increasingly required by the market, Expand Médico LTDA is very proud presents its Code of Conduct.

​

This Code of Conduct deals with Ethics and Compliance, and thus guides all of us at Expand Médico and our partners on how to deal with challenges and conflicts of interest and risks in general. Here, we will establish a minimum set of actions necessary to promote suitable behavior with the medical and hospital community and with all those who relate to the company.

Finally, it reflects Expand Médico's commitment to develop and promote a fair, ethical and high compliance business environment.

Thus, compliance with all the rules explained here is mandatory for anyone who wants to do business with the company. And non-compliance will mean breaking business relations with anyone: suppliers, customers, partners, employees or representatives and any others who are related, or want to be related, with Expand Médico .

FREE COMPETITION

Expand Medical believes and always promote free competition between companies and are always open to discuss with others, issues dealing with public nature and themes of common interest in the health sector. On the other hand, under no circumstances or circumstances will Expand Médico discuss confidential matters that damage the healthy, ethical and honest relationship with other companies in the sector and that affect free competition. This means that:

  • Expand Medical will never reveal or demand of other companies, their prices, discounts, business models, marketing strategies and other information that could compromise somehow, the competitive freedom;

  • Expand Medical research can make use of the health sector for benchmarking purposes since a producer of the material is neutral and respect the confidentiality of information;

  • In the sphere of supply to public agencies, Expand Médico will only provide information about the products it works with if requested by the buyer, these subsidies being strictly technical and objective.

RELATIONSHIP WITH HEALTH

PROFESSIONALS

Expand Médico's legal or commercial representatives will have a promotional or non-promotional purpose when dealing with healthcare professionals, as explained below:

​

  • Support and research and education in the health sector;

  • Collaboration for the development and / or improvement of new products;

  • Promote training, services and technical support to health professionals, ensuring the safe and efficient use of new products or high-tech products;

  • Promote access to medical products, information and services for underprivileged populations , and may even donate health care products, in addition to educating patients or providing other services to the community in general;

  • Expand Medical may pay reasonable expenses to the health professional, such as transport, accommodation and / or food, without, however, that there is any compensation for time setting the professional spend on such promotional gatherings. This topic will be dealt with in more depth below.

The hiring of a health professional, based on strictly technical criteria, for research, development, consultancy and presentation of promotional or non-promotional topics may be carried out by Expand Médico who will be free to remunerate the contractor in an appropriate manner. The payment for the service provided by the contractor must be supported by a specific service provision contract and payment will always be through a bank transaction and everything duly entered in the company's accounting records, and can be properly audited.

If the contractor is a government official or acts as an employee of a private company , these entities must be expressly informed of their contractual relationship between Expand Médico and the contractor, and this topic must be a mandatory clause of the contract between the parties.

The contracting and the eventual payment cannot be associated with contracts for the purchase and use of a certain quantity of products of the contracting company.

​

Expand Medical   too   it may remunerate a health professional under the heading royalties or consideration for the assignment of a patent, intellectual property or know-how , although the need for a specific contract for the service provided is observed, all in accordance with the previous paragraph.

EVENTS PROMOTED BY EXPAND MEDICO

Expand Medical can promote own events, such as classes, lectures, debates, workshops, round-table and live surgeries to present their technologies and training, however, always seeking the well-being of patients. No professional invited to these events should have, on the part of the Company, the purpose of obtaining an undue advantage.

Payment to health professionals invited for these events is allowed for the costs of transportation, food and accommodation; however, there can be no remuneration for your time used.

​

Expand Medical may sponsor events organized by Healthcare Organizations, strictly observing the Code of Conduct ABMIED the Brazilian High-Tech Products Industry Association for Health.

OTHER PAYMENTS TO HEALTHCARE PROFESSIONALS

If the Company vs. health professional permits, Expand Médico will be able to pay reasonable expenses, such as transportation, accommodation and meals directly to service providers. If this is not possible , the Company will reimburse the healthcare professional using original tax receipts presented.

Any other unforeseen situations in this Code of Conduct, will be subject to the Code of Conduct ABIMED the Brazilian Association of High Technology Products for Health - abimed.org.br
